The provisional cash purchase price is EUR 46.8 million. Burda Digital made the highest offer in a bidding procedure coordinated by Altium Capital involving around 40 companies. This amount is equal to 22 times the anticipated EBITDA figure for 2015. According to initial estimates based on carrying values as at 31 December 2015, the resulting book profit of the TOMORROW FOCUS Group under IFRS rules will be EUR 38.1 million. In the single-entity financial statements of the parent company TOMORROW FOCUS AG, drawn up under the accounting rules of the German Commercial Code (Handelsgesetzbuch, HGB), the book profit will be EUR 38.8 million. The deal is expected to close at the end of the year.

jameda is Germany’s biggest physician ratings portal. Over five million patients use the portal every month to find the right physician. The site also features a booking system that allows patients to make their appointments straight away online. jameda GmbH was formed in 2007. TOMORROW FOCUS AG acquired a majority shareholding in 2008 during the start-up phase and completed its takeover in 2011. In the financial year 2015, with around 40 employees, the Munich-based company will presumably generate revenue of EUR 6 million and EBITDA of EUR 2 million.

Following the sale of TOMORROW FOCUS AG’s publishing assets (Focus Online and The Huffington Post) in April and of its premium online dating agency (ElitePartner) in June, the sale of jameda largely completes its strategic realignment towards digital transaction-based business models in the travel sector. Altogether, these disposals will generate a cash inflow of around EUR 85 million. TOMORROW FOCUS AG plans to use some of this cash to drive further growth in its Travel segment, centred on HolidayCheck and Zoover.

In the financial year 2014 EliteMedianet generated revenue in the region of EUR 28 million and EBITDA of EUR 2.6 million.

Oakley Capital is a private equity firm based in London, and the Oakley Capital Group has assets under management of around EUR 750 million. It invests primarily in fast-growing companies in the UK and Western Europe and in April 2015 acquired Parship GmbH, which operates an online dating agency by the same name.

The sale of EliteMedianet GmbH is expected to generate a total of EUR 23.3 million for TOMORROW FOCUS AG based on an anticipated sale price of EUR 22.0 million. An amount of EUR 14.8 million is payable on completion of the sale. TOMORROW FOCUS AG will provide a loan with a term of up to two years to cover the remaining sum of EUR 7.2 million. On scheduled repayment of this loan at the end of the term, TOMORROW FOCUS AG will also receive interest due of up to EUR 1.3 million. The total figure is equivalent to 9 times the EBITDA generated by EliteMedianet GmbH in 2014.

Between 2007 and 2015, the company will have generated and transferred to the Group an accumulated net cash inflow of around EUR 13 million.

At Group level, the sale of EliteMedianet GmbH will produce an estimated loss of around EUR 2 million and will necessitate a valuation adjustment of EUR 3 million to deferred taxes on loss carryforwards. In TOMORROW FOCUS AG’s single-entity financial statements based on the German Commercial Code (Handelsgesetzbuch, HGB), the sale will generate a book profit of around EUR 1 million.

The acquisition of EliteMedianet GmbH by Oakley Capital Private Equity is subject to approval under anti-cartel legislation. Assuming this approval is granted, the sale is expected to close in the third quarter of 2015.

Christoph Schuh, Member of the Management Board at TOMORROW FOCUS AG, explained the rationale behind the move: ‘We are making rapid progress with the implementation of our new strategy, which involves focusing on business models in the online travel sector. Following the successful sale of our publishing activities back in April, with Oakley Capital we have now found the ideal, financially strong partner for EliteMedianet. The total net income generated by TOMORROW FOCUS AG from the sale of Tomorrow Focus Publishing GmbH and EliteMedianet GmbH will be around EUR 53,5 million. Under IFRS rules, the net book profit from both transactions will be around EUR 21 million. The Management Board plans to use the cash inflow to repay a loan of EUR 14.5 million and to invest in further organic and non-organic growth in its Travel segment.

TOMORROW FOCUS AG (Munich, Germany) signed an agreement with Burda Digital GmbH today covering the sale of TOMORROW FOCUS Publishing GmbH, which is home to the TOMORROW FOCUS Group’s publishing activities including the news portal FOCUS Online; the German-language edition of The Huffington Post, a news portal and platform for blogs; the finance and stock market information portal Finanzen100; the parent portal NetMoms; and TOMORROW FOCUS Media, which specialises in digital marketing.

The decision to sell the Group’s advertising-based operations will allow TOMORROW FOCUS AG to concentrate on digital, transaction-based business models, especially in the travel sector. The objective is to further expand the Group’s market position as one of Europe’s leading providers in the field of hotel ratings and travel bookings. At the same time, TOMORROW FOCUS AG will examine the potential for speeding up growth in the Subscription segment with its high-profile brands ElitePartner and jameda, and the recent start-up organize.me. One such option under consideration involves inviting strategic partners to acquire a stake in the companies that make up the segment. TOMORROW FOCUS AG will explain its future strategy in detail at its Capital Markets Day, which is scheduled for the end of May 2015.

The agreed purchase price is EUR 30.2 million. This valuation is equivalent to 8.6 times the 2014 EBITDA of TOMORROW FOCUS Publishing GmbH. According to initial estimates (based on carrying values as at 31 December 2014), the resulting book profit under IFRS rules will be at least EUR 20 million. The single-entity financial statements of TOMORROW FOCUS AG under the German Commercial Code (Handelsgesetzbuch, HGB) will show a book profit of EUR 3.1 million. The sale is subject to a number of conditions precedent but should be completed in the second quarter of 2015.

The cash inflow will be used to pay off a bonded loan of EUR 14.5 million that is due to mature in 2016 and to generate further growth in the Travel segment. In financial 2014, the companies that will be sold contributed EUR 29.7 million to the Group’s total revenue and EUR 3.5 million to consolidated EBITDA.

Burda Digital GmbH will take over all publishing assets and the digital marketing specialist with all employees. They will be integrated into its National Digital Brands division.
