A prospectus will not be issued. The new shares carry dividend rights from 1 January 2012.

The new shares were placed at EUR 3.80 each. The capital increase will generate gross income of approximately EUR 19.2 million. These new funds will be used to finance further acquisitions and to increase the stake in companies in which a majority shareholding is held.

Berenberg Bank acted as the sole lead manager and sole bookrunner for the transaction.
